I am trying to open a database from a disk on D drive and my QBPro 2006 is
on C. I get an error 80040433 and problem with access rights to the company
file. How can I correct this?
Thanks!

Pray tell, is the D drive a CD/DVD drive, USB drive, network drive, or
standard hard drive

Try copying the file to your hard drive before opening it with QuickBooks.
You need read/write access to the drive the file is on which won't happen
with your CD/DVD drive.
