I'm preparing to change from QuickBooks Pro 2005 (with Payroll
subscription) to QuickBooks Pro 2008. I simply bought this new version
directly from Intuit (it's the full version, CD, etc). I'll backup
first. Here are my quesitons...

1) Will this new version simply upgrade what's on my computer?
2) Will my current payroll subscription continue to work or do I have
to do something?
3) Any bugs/problems/issues to look out for?

The new version is, well, new. So it installs new software. The program will
update your QB file to the new file format when you open it. You are right
to keep backups just in case.

You should not have to do anything. The payroll subscription information
will be pre-filled into the new software.

Always.
But, I have no specifics for you, as my 'upgrade' was not from 2005.

I have experience with 2005 to 2008 update. No problems to report.
The payroll functionality in 2008 is different. You can kind-of do payroll
the old way, but I would recommend not to fight the QuickBooks but to
go with the flow and to learn the new way. Particularly look up the help
topics on setting up scheduled payroll and assigning employees to periods.
