Hi, Bob.
I don't know the answer, but I highly recommend that you discuss this sale
offer with an attorney who is familiar with US securities laws. Some naïve
people with no evil intent at all have wound up in serious trouble for
trying to sell securities without observing those rules. I am not an
attorney and never have been, but in my decades as an accountant, I learned
that there are times when competent counsel is essential.
It is not clear from your post whether you are in the USA, or in Ireland, or
somewhere else in the world.
