How should this Form 1065 be signed? The filer is a limited
partnership, the general partner of which is a corporation
whose president is a limited partner of the partnership.
Form 1065 indicates it should be signed by a General
Partner. Should it be signed:

XYZ, Corp.
by John Doe, President

or should it just be signed by John Doe (who is a limited
partner) or should it be signed some other way?

Yes, I think that's probably the best way.

If you aren't already aware, having a corporation as sole
general partners of an LP can be problematic, particularly
if the corporation was set up for that specific purpose. If
it would result in higher taxes the IRS could try to require
the LP be taxed as a corporation rather than a partnership -
I've seen them do it.

That's the reason LLCs were created - to avoid that problem.

Stu

It should be signed by an officer of the general partner
shareholder in the signer's role as officer.
